Upgrading to XP is probably the simplest OS upgrade of all.

1. Insert the CD and Choose Install windows XP from the menu that appears
2. The setup program detects that you already have an OS installed and presents you with a menu that says Upgrade Click Next to begin the upgrade
3. Setup asks you to agree to the EULA, enter the product key, and download an updated version of the setup program (if necessary)
4. Setup copies several files over, reboots a couple of times, and continue like a standard Windows XP installation.

Once you have finished the installation, you must active it (like a standerd Windows XP installation), but that’s about it. Windows XP setup makes most of the decisions about the upgrade for you so only a minimal amount of interaction is necessary.

If I remember from my MS 70-270 class upgrading to XP from either 98, NT, or 2000 is actually illegal unless it's for educational purposes.
